Last updated: March 1, 2026 Welcome to Pavilion. These Terms of Service ("Terms") govern your use of the Pavilion marketplace platform ("Platform"), operated by Pavilion Marketplace, Inc. ("Pavilion," "we," "us," or "our"). By accessing or using our Platform, you agree to be bound by these Terms. 1. ACCOUNT REGISTRATION To buy or sell on Pavilion, you must create an account. You agree to provide accurate, complete information and to keep your account credentials secure. You are responsible for all activity under your account. 2. MARKETPLACE RULES Pavilion is a marketplace that connects buyers with sellers of surplus, liquidation, overstock, and secondhand goods. Pavilion does not own, possess, or inspect the items listed on the Platform. Sellers are responsible for: - Accurately describing item condition using Pavilion's standardized condition grades - Providing truthful condition disclosures - Fulfilling orders in a timely manner - Complying with all applicable laws and regulations Buyers are responsible for: - Reading listing descriptions and condition disclosures before purchasing - Paying for items promptly - Communicating with sellers through the Platform 3. CONDITION GRADES Pavilion uses a standardized condition grading system. Sellers must accurately grade items and provide detailed condition notes. Misrepresenting item condition is a violation of these Terms and may result in account suspension. 4. PAYMENTS All payments are processed through our secure payment system. Funds are held in escrow until the buyer confirms receipt and satisfaction or the return period expires. 5. RETURNS AND BUYER PROTECTION Pavilion offers Buyer Protection on all purchases. If an item does not match the listing description or condition grade, buyers may request a return within 30 days of delivery. See our Return Policy for details. 6. SELLER FEES Sellers pay a commission on completed sales. Current fee schedules are available on our Seller Pricing page. 7. SHIPPING AND FULFILLMENT Pavilion facilitates shipping and delivery through the following third-party service providers: a) ShipStation — Parcel shipping and last-mile delivery services. Sellers who offer standard parcel shipping or local delivery agree to ShipStation's terms of service and acceptable use policy. ShipStation provides shipping label generation, rate comparison, and package tracking across major carriers (USPS, UPS, FedEx, and others). b) ShipperGuide — Freight shipping services. Sellers who offer freight shipping for oversized, palletized, or heavy items agree to ShipperGuide's terms of service and freight policies. ShipperGuide facilitates LTL (less-than-truckload) and FTL (full-truckload) freight quotes and booking. By applying to sell on Pavilion, sellers agree to the terms and policies of the shipping providers listed above, as these services are integral to the Pavilion marketplace fulfillment experience. Pavilion reserves the right to update shipping providers and will notify sellers of any material changes. Sellers are responsible for: - Accurately providing package dimensions and weight for shipping quotes - Preparing items for pickup or shipment within the stated handling time - Complying with carrier packaging and labeling requirements - Ensuring items are properly packaged to prevent shipping damage 8. PROHIBITED ITEMS Certain items are prohibited from sale on Pavilion, including but not limited to: weapons, hazardous materials, counterfeit goods, stolen property, and items that violate intellectual property rights. 9. INTELLECTUAL PROPERTY All content on the Platform, including logos, design, and text, is owned by Pavilion or its licensors. Users retain ownership of content they create but grant Pavilion a license to use it on the Platform. 10. LIMITATION OF LIABILITY Pavilion is a marketplace platform and is not liable for the quality, safety, or legality of items listed. Our liability is limited to the fees paid to us. 11. DISPUTE RESOLUTION Disputes between buyers and sellers should first be resolved through our Resolution Center. If unresolved, disputes will be subject to binding arbitration. 12. CHANGES TO TERMS We may update these Terms from time to time. Continued use of the Platform constitutes acceptance of updated Terms. 13. CONTACT Questions about these Terms? SELLER FULFILLMENT SERVICES Sellers on Pavilion may offer their own delivery, installation, white-glove, measurement, consultation, and other value-added services through the Platform. When a seller offers such services, the following terms apply: - Pavilion facilitates the transaction but is not the service provider. The seller is solely responsible for providing the services offered. - Sellers offering in-person or professional services must maintain appropriate liability insurance and any required trade licenses for the services they provide. - Platform fees apply to the total transaction amount, including both product and service components. Current fee rates are 8-10% depending on the transaction type — see our Seller Pricing page for details. - Sellers are responsible for service quality, professional conduct, and timely completion of all scheduled services. - Buyers may file disputes for service-related issues through Pavilion's Resolution Center. Pavilion's dispute resolution process applies equally to service and product disputes. - Service scheduling commitments are binding. Sellers must honor confirmed appointments and provide advance notice for any schedule changes. Cancellation policies set by the seller apply, and repeated cancellations without adequate notice may result in account review. 15. SELLER-MANAGED SHIPPING Certain sellers operate their own shipping, delivery, and logistics departments. For these sellers: - Pavilion displays seller-set shipping rates at checkout. These rates may appear alongside or instead of platform-calculated carrier rates, depending on the seller's configuration. - Sellers are solely responsible for accurate rate quoting, timely order fulfillment, and delivery within the advertised timeframe. - Pavilion Shield buyer protection applies to purchases regardless of which shipping or delivery method was used. - Sellers who offer delivery by zone or radius must clearly communicate service area boundaries, pricing, and lead times. Buyers outside a seller's defined service area will not see that seller's delivery options at checkout. - Sellers may not charge delivery fees materially different from those shown at checkout without buyer consent. 16. INDEPENDENT CONTRACTOR MARKETPLACE Pavilion connects buyers with independent contractors — including installers, laborers, and trade professionals — through its contractor marketplace. The following terms govern contractor bookings: - Contractors listed on Pavilion are independent professionals. They are NOT employees, agents, or subcontractors of Pavilion. Pavilion does not direct or control the manner in which contractors perform their work. - Pavilion verifies contractor credentials, including license information and insurance documentation, but does not guarantee work quality, outcomes, or results. Buyers are responsible for confirming contractor qualifications are appropriate for their specific project. - A platform commission of 12-15% is deducted from contractor earnings on completed bookings. Specific rates are published on the Contractor Pricing page. - Payment for contractor services is held in escrow by Pavilion until the buyer approves the completed work. If a buyer does not approve or dispute the work within 7 days of the contractor marking a job complete, auto-approval occurs and the contractor is paid. - Contractors must maintain valid general liability insurance and any applicable trade licenses as a condition of platform participation. Pavilion may require proof of coverage at any time. - Pavilion's dispute resolution process covers contractor service disputes. Contractors must respond to dispute notifications within 48 hours. - Contractor reviews are public and contribute to each contractor's trust score and ranking on the platform. Review manipulation of any kind is prohibited and may result in permanent removal. 17. SERVICE BOOKING AND SCHEDULING The following terms apply to all service bookings — whether through a seller's services or an independent contractor: - Service appointments confirmed through the Platform are binding commitments. Buyers and service providers are both expected to honor scheduled times. - Late cancellations (within 24 hours of a scheduled appointment) may result in cancellation fees as defined by the seller's or contractor's stated policy. - Payout to the contractor or seller is triggered when the buyer approves the completed work. If no approval or dispute is filed within 7 days of marked completion, auto-approval is triggered. - Pavilion Shield protection extends to professional services ordered through the Platform, covering cases where the service was materially misrepresented or not performed as described.
